TERMS OF USE

This website (“Site”) is owned and managed by SPRING CPO Limited (“Spring CPO”, “Fractional CPO”, “we”, “our”, or “us”). By using this Site, and/or any of the services delivered, you agree to be bound by the Terms of Use, our Cancellation Policy, our Privacy Policy, and any additional policies applicable to specific areas of the Site (together the “Terms”). These Terms apply to information and services delivered through the Site. Fee-based services, such as coaching, ad-hoc consulting or training, are delivered with their own terms and conditions.

 

Accessing the Site, in any manner, whether automated or otherwise, constitutes use of the Site and your agreement to be bound by these Terms. Please contact Kelli Wilks (info@springcpo.com) with any questions, otherwise if you do not agree to these Terms, do not use the Site.

 

Disclaimer

You understand and agree that your use of this Site is at your sole risk. The Site is provided on an “as is” basis. Spring CPO and its subsidiaries, affiliates, officers, employees, agents, partners and licensors expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement.

 

Spring CPO and its subsidiaries, affiliates, officers, employees, agents, partners and licensors make no warranty that (1) the Site or any other Spring CPO services will meet your requirements; (2) the Site will be uninterrupted, timely, secure or error-free; (3) the results that may be obtained from the use of the Site will be accurate or reliable; (4) the quality of any products, services, referrals, information or other material obtained by you through the Site will meet your expectations; and (5) any errors in the software, hosting platform, or any other connectivity will be corrected. Any material downloaded or otherwise obtained through the use of the Site is accessed at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.

 

No advice or information, whether oral or written, obtained by you from Spring CPO through or from the Site shall create any warranty not expressly stated in the Terms.

 

Notwithstanding certain relevant obligations under the UK Data Protection Act, Spring CPO assumes no responsibility for the timeliness, deletion, mis-delivery, or failure to store any user data. Events beyond our control may also prevent us from being able to deliver information and services on the Site, such as, but not limited to web hosting problems, weather, or other force majeure-type acts beyond our control.

 

This website is hosted by an external provider. When you register as a new client or post a comment on the Site, you acknowledge that you will be sending data transmissions through Spring CPO computer networks located in the UK and, in some instances, portions of which may be located abroad.

 

No information contained within the site is intended to act in place of legal or financial advice, and you acknowledge that the information contained on the site should not be used in place of a qualified legal or financial professional.

 

Your obligations

In consideration of your use of the Site, you represent that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of England and Wales or other applicable jurisdiction. You also agree to: (a) provide true, accurate, current and complete information about yourself as and if prompted by the Site’s registration form (the “Registration Data”) and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or Spring CPO has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Spring CPO has the right to suspend or terminate services.

 

Registration Data and certain other information about you is subject to our Privacy Policy and through your use of the Site you consent to the collection and use of the information set forth therein. You also agree to maintain the confidentiality of any password used in accessing your data, and you agree to be fully responsibly for any and all activities that occur under your password or account. You agree to notify Spring CPO immediately of any known or suspected unauthorised use of your password or account or any other breach of security.

 

You understand that by using the Site, you may encounter information or referrals from third parties. Under no circumstances will Spring CPO be liable in any way for any content, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use or interpretation of any content posted, emailed, transmitted or otherwise made available through the Site.   Spring CPO makes no guarantee regarding the reliability, accuracy or quality of any content or third party information or referrals.

 

This site is authorised and operated by Spring CPO and you agree not to copy, modify, sell, distribute, or create derivative works based on the Site, in whole or in part.

 

Indemnification

You agree to indemnify and hold Spring CPO and its subsidiaries, affiliates, officers, agents, employees, partners and licensors harmless from (1) any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of content you submit, post, transmit or otherwise make available through the Site; and (2) your violation of the Terms, your violation of the rights of another, or your reliance upon information provided on the Site which results in the third party claim against you.

 

Limitation of liability

You expressly understand and agree that Spring CPO and its subsidiaries, affiliates, officers, employees, agents, partners and licensors shall not be liable to you for any direct, indirect, incidental, special, or consequential damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Spring CPO has been advised of the possibility of such damages), resulting from: (1) the use or the inability to use the Site; (2) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Site; (3) unauthorised access to or alteration of your transmissions or data; (4) statements or conduct of any third party on the Site; or (5) any other matter relating to the Site.

 

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations of liability may not apply to you.

 

Use of Third Party Websites

Via this Site, Spring CPO may make available to you certain services offered by third parties. Spring CPO does not warrant, govern the terms of use, and is not responsible for, the quality of information provided by those third parties.

 

Governing Law

The Terms of use of this Site, and any resultant relationship you may establish with Spring CPO, are governed by the laws of England and Wales, and you agree to submit to the exclusive jurisdiction of the courts of England and Wales to resolve any disputes arising from this Site or these Terms.

 

Entire Agreement

These Terms constitute the entire agreement between you and Spring CPO and governs your use of the Site, superseding any prior agreements between you and Spring CPO with respect to the Site, with the exception of the Privacy Policy and the Cancellation Policy (for fee-based services), both of which are addressed under separate terms and conditions. PRIVACY POLICY

This data protection and privacy policy sets out how Spring CPO Limited uses and protects any information that you give Spring CPO when you use this Site.
 

Spring CPO is committed to ensuring that your privacy is protected. Should we ask you to provide certain information by which you can be identified when using this Site, then you can be assured that we will only use the information that we collect about you lawfully (in accordance with the Data Protection Act 1998).


Spring CPO may change this policy from time to time by updating this page. You should check this page at any time to ensure that you are happy with any changes. This policy is effective from 1st July 2022.


Why do we collect this information?

We collect information about you for two reasons: (1) to process your enquiry, and (2) to provide you with the best possible service.

We will not email you in the future unless you have given us your consent via the contact form. We will never collect sensitive information about you without your explicit consent.

 

What we do with the information we gather?

We require this information to understand your needs and provide you with a better service, and in particular for the following reasons:

• Internal record keeping.

• We may use the information to improve our products and services.

• We may periodically send promotional emails about new services, white papers, or other information which we think you may find interesting using the email address which you have provided.

 

From time to time, we may also use your information to contact you for market research purposes. We may use the information to customise the website according to your interests.

We are committed to ensuring that your information is secure. In order to prevent unauthorised access or disclosure, we have put in place suitable physical, electronic and managerial procedures to safeguard and secure the information we collect online.

 

How we use cookies:

Controlling your personal information:

We will not sell, distribute or lease your personal information to third parties unless we have your permission or are required by law to do so.

 

You may request details of personal information which we hold about you under the Data Protection Act 1998. A small fee administration will be payable. If you would like a copy of the information held about you, please email us at info@SpringCPO.com

 

If you believe that any information we are holding on you is incorrect or incomplete, please write to or email us as soon as possible, at the above email address. We will promptly correct any information found to be incorrect.

 

According to the Data Protection Act, the Data Controller is Spring CPO Limited, trading as Spring CPO.

 

Your acceptance of these terms:

By using this Site, you agree to and acknowledge the terms of this Privacy Policy. If you do not agree to this policy, please do not use this Site. Spring CPO may change the terms of this Privacy Policy from time to time without prior notice to you, so please check this page periodically for any changes. Your continued use of this site signifies your agreement of the Terms.

CANCELLATION AND REFUND POLICY

We recognise how busy our clients are and that sometimes problems occur causing our clients to request to change or to cancel certain services. We value our client relationships and will do everything we can to accommodate a change of services or date although this is sometimes not possible due to availability of consultants and existing client demands. However, it can be very problematic when clients make these changes on very little notice. This means those services cannot then be offered to other clients. 

 

Our consultants run a fixed schedule specifically to try to accommodate the needs of our clients. Many are booking CPO hours a month ahead and meetings and/or travel may have been booked.

 

When contracted services are cancelled (these being less than 30 days ahead of the session or event) a cancellation charge of 50% of the contracted fee will be applied and invoiced at Spring CPO's discretion. In the event of a cancellation within 10 days of the upcoming session or event, we will apply a cancellation charge of 100% of the contracted fee (collectively “the cancellation charge”).

 

We have discretion to waive cancellation charges in exceptional cases.

 

We are always acting in the fair interests to all of our clients, however, we reserve the right to immediately (upon 2 days of the cancellation notice) cease in writing the relationship with a client if cancellations continue.
